Otokar took over 96.77 percent of Automecanica

Otokar announced that the transactions regarding the acquisition of shares representing 96.77 percent of Automecanica capital have been completed. In Otokar’s statement on the Public Disclosure Platform (KAP), with its special situation statement dated April 29, 2026, Automecanica S.A., which is established in Romania and operates in the field of defense industry. It was stated that it was announced that a Share Purchase and Sale Agreement was signed between Otokar and the relevant shareholders of Automecanica regarding the acquisition of shares representing 96.77 percent of (“Automecanica”) capital.

Following the fulfillment of the closing conditions stipulated in the contract, the share transfer transactions were completed and the shares representing 96.77 percent of Automecanica’s capital were taken over by Otokar. The following statements were made: “In addition to the 5 million euros paid by our company to the sellers on the date of signing the memorandum of understanding as the share purchase price and the 5 million euros paid on the date of signing the Share Purchase and Sale Agreement, Automecanica’s 31 shares, which were finalized after the corrections made during the technical evaluation process.

In line with the calculations made taking into account the net debt and net working capital amounts in the financial statements dated December 2025, a payment of 46 million 744 thousand 143 euros will be kept as cash guarantee and will be paid in installments within three years following the closing. If the sellers submit a letter of guarantee, this amount will be released by paying to the sellers, Automecanica’s net debt and net debt as of May 31, 2026.

It will be subject to post-closing adjustment based on net working capital amounts. As a result of the transaction, Automecanica, which already has the necessary infrastructure, production facilities and licenses in Romania, has become a subsidiary of our company, and the activities within the scope of the Romanian 4×4 Tactical Wheeled Light Armored Vehicle Project will be carried out directly through Automecanica.” Source: AA
